VIP BNB, LLC Host Terms & Conditions, Partner Agreement, and Liability Waiver

1. The Partnership

VIP BNB ("we," "us") provides luxury beach amenity rental and concierge delivery services to guests staying at properties listed by independent hosts ("you," "Host") in the South Bay, California. By creating a Host account, you authorize VIP BNB to offer these services to guests booking your listed property and to coordinate delivery, set-up, and pick-up of equipment at the property address you provide.

2. Host Responsibilities

• Provide accurate property information, including address and amenities offered.
• Ensure your property and any short-term rental listings comply with all applicable local, state, and federal laws, HOA rules, and lease terms.
• Allow VIP BNB staff reasonable access to the property for delivery, set-up, and pick-up at the times agreed with the guest.
• Promptly notify VIP BNB of any damage, theft, safety concern, or guest complaint related to delivered amenities.

3. Revenue Share & Payments

Hosts may be eligible for a revenue share on guest bookings tied to their property address, as displayed in the Host dashboard. Revenue figures are estimates and are subject to refunds, chargebacks, and verification. Payouts, when applicable, are made on the schedule and through the payment method we communicate to you separately.

4. Independent Contractor Relationship

Nothing in this agreement creates an employment, partnership, joint venture, or agency relationship between you and VIP BNB. You are responsible for your own taxes, insurance, and any obligations to your guests under your own rental agreements.

5. Assumption of Risk & Release of Liability

You acknowledge that activities involving e-bikes, paddle boards, fire pits, beach equipment, and similar amenities carry inherent risks of injury, property damage, or loss. To the fullest extent permitted by law, you, on behalf of yourself and your heirs and assigns, release, waive, and discharge VIP BNB, its owners, employees, contractors, and affiliates from any and all claims, demands, damages, or causes of action arising out of or related to:

• The use, misuse, or condition of any rental amenity by a guest at your property;
• Injury, illness, or property damage suffered by you, your guests, or third parties;
• Acts or omissions of guests, including their compliance (or non-compliance) with laws, age restrictions, helmet requirements, fire permits, or local ordinances.

6. Indemnification

You agree to indemnify and hold harmless VIP BNB from any third-party claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your breach of this agreement, (b) your violation of any law or third-party right, or (c) your acts or omissions in connection with the property or guests staying there.

7. Termination

Either party may terminate this agreement at any time, for any reason, by written notice (including email). Termination does not affect obligations that have already accrued, including indemnity and release provisions, which survive termination.

8. Governing Law

This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California.

9. Updates

We may update these Host Terms from time to time. Continued use of your Host account after an update constitutes acceptance of the revised terms.
